Always consult with a healthcare professional before using any dietary supplement, especially if you are pregnant, breastfeeding, or taking medication. Do not exceed the recommended daily dosage. OVERVIEW

Welcome to NAD+ Wholesale by Holte (“Holte”, “we”, “us”, “our”). We operate this website, store, products, and related services (the “Services”), powered by Shopify. These Terms & Conditions (“Terms”) govern your access to and use of the Services.

By using the Services, you agree to these Terms and our Privacy Policy. If you do not agree, do not use the Services.

1. ELIGIBILITY; B2B USE ONLY

  • The Services are intended exclusively for business customers (e.g., clinics, pharmacies, healthcare/wellness professionals, retailers, and distributors).

  • By placing an order you confirm you are acting in the course of business and have authority to bind the business you represent.

  • You are responsible for maintaining account security and for all activity on your account.

2. PRODUCT INFORMATION; PROFESSIONAL USE

  • We aim to present products accurately; however, packaging/appearance may vary by batch.

  • Professional use/dispensing: Certain products (e.g., NAD+ Pen®, refill cartridges, micro-needles) may require professional judgment, training, or protocols. You are responsible for ensuring appropriate clinical governance, staff training, and patient/client suitability.

  • Product info provided is general and not medical advice.

3. ORDERS; ACCEPTANCE; MOQs

  • Your order is an offer to buy; we may accept or reject at our discretion. Acceptance occurs only when we send an order confirmation.

  • We may set minimum order quantities, case sizes, or allocation limits.

  • Backorders and split shipments require our prior agreement.

4. PRICES; TAX; PAYMENT TERMS

  • Prices exclude VAT, shipping, duties, and customs unless stated.

  • We may change prices at any time prior to acceptance.

  • Payment terms are as shown at checkout or on your invoice . Late payments may accrue interest under the Late Payment of Commercial Debts (Interest) Act 1998.

5. SHIPPING, RISK & TITLE; TEMPERATURE CONTROL

  • Dispatch dates are estimates only. We are not liable for carrier/customs delays.

  • Risk of loss passes on delivery to the carrier; title passes only when payment is received in full.

  • Where indicated, products may require temperature-controlled storage. You must:

    • Inspect on receipt and record temperature on delivery where applicable;

    • Store per label/specification (e.g., 2–8°C or ambient as stated);

    • Maintain logs to evidence compliant storage/handling.

     

6. INSPECTION; DEFECTS; RETURNS (B2B)

  • Due to the nature of our products, we do not accept returns for change of mind, ordering errors, or opened items.

  • You must inspect shipments on receipt and notify us within 7 days of delivery of any shortage, damage, temperature excursion, or defect, providing PO number, batch/lot numbers, photos, and temperature records (if relevant).

  • At our discretion, we may replace, credit, or refund confirmed defective or mis-shipped goods. Do not return any product without an RMA (return authorisation).

  • We are not responsible for products that have been stored or handled improperly after delivery.

 

7. BATCH TRACEABILITY; RECALLS; PHARMACOVIGILANCE

  • Keep accurate batch/lot records linking serial/batch numbers to your onward sales or usage.

  • You must promptly cooperate with any product recall, withdrawal, or field safety notice, including contacting your customers if requested.

  • Report any adverse events, complaints, or product quality issues to support@nadwholesale.co.uk without delay, including product, batch, and details.

 

8. RESELLING; BRAND & CLAIMS USE

  • You may resell Holte products only in the original packaging with intact batch and expiry.

  • You must not alter labels, dosage, instructions, safety info, or expiry dates.

  • No unauthorised health claims. You must comply with UK and EU nutrition/health claims rules, CAP/ASA guidance, and local laws in your market.

  • Use of our trademarks, images, and copy is permitted solely to market authentic Holte products and must follow our Brand Guidelines (available on request).

  • We may enforce MAP/RRP policies or channel restrictions where notified.

 

9. COMPLIANCE & IMPORT/EXPORT

  • You are responsible for ensuring your regulatory compliance (including professional scope of practice, registration, insurance, and advertising rules).

  • For sales outside the UK, you are responsible for import permits, customs clearance, taxes, and local compliance.

 

10. INTELLECTUAL PROPERTY

All content, trademarks (including Hōlte, NAD+ Pen®), product designs, and materials are our or our licensors’ property. No IP rights are granted except as expressly stated.

11. OPTIONAL TOOLS & THIRD-PARTY LINKS

Third-party tools/links are provided “as is” and at your risk. See Sections 7–8 of your draft (unchanged in substance).

12. RELATIONSHIP WITH SHOPIFY

We are powered by Shopify, but all sales are with Holte, not Shopify. You release Shopify from any claims arising from your transactions with us.

13. PRIVACY

Personal data is processed per our Privacy Policy [LINK] and Shopify’s policies. By using the Services, you consent to such processing and to cross-border transfers as needed to fulfil orders.

14. FEEDBACK

By submitting reviews/feedback, you grant us a perpetual, sublicensable, royalty-free licence to use them, and you confirm you have the necessary rights and have disclosed any incentives.

15. ERRORS & CHANGES

We may correct errors or update information (including pricing/availability) at any time and may cancel orders affected by such errors prior to dispatch.

16. PROHIBITED USES

Do not misuse the Services (spam, scraping, malware, IP infringement, harassment, or unlawful activities). We may suspend/terminate access for violations.

17. TERMINATION

We may terminate or suspend access at any time. Obligations that by nature survive (e.g., payments due, IP, warranties, liability limits, indemnities) will continue.

18. WARRANTY DISCLAIMER

Except as required by law or expressly stated in product documentation, the Services and products are provided “as is” and “as available”, without warranties of any kind, whether express or implied, including merchantability and fitness for a particular purpose. Nothing herein excludes liability that cannot be excluded under applicable law.

19. LIMITATION OF LIABILITY

To the maximum extent permitted by law, Holte and its affiliates will not be liable for indirect, incidental, special, punitive, or consequential losses, including loss of profit, revenue, business, or data. Our total aggregate liability in connection with any order shall not exceed the amount paid for the products giving rise to the claim.

20. INDEMNITY

You agree to indemnify and hold harmless Holte and its affiliates against claims/losses arising from (i) your breach of these Terms; (ii) your non-compliance with laws or misuse of products; (iii) your marketing, resale, or professional use of products; and (iv) your storage/handling after delivery.

21. SEVERABILITY

If any provision is invalid, the remainder remains in effect to the fullest extent permitted by law.

22. WAIVER; ENTIRE AGREEMENT

Failure to enforce a right is not a waiver. These Terms (with any order-specific terms and policies referenced) are the entire agreement for use of the Services and wholesale purchases.

23. ASSIGNMENT

You may not assign your rights or obligations without our prior written consent. We may assign these Terms at any time.

24. GOVERNING LAW & JURISDICTION (UK)

These Terms and any dispute or claim (contractual or non-contractual) shall be governed by the laws of England and Wales, and the courts of England shall have exclusive jurisdiction, except that we may seek injunctive relief in any jurisdiction.

25. CHANGES TO THESE TERMS

We may update these Terms from time to time by posting a new version on the website and, where required by law, notifying you. Continued use constitutes acceptance.
